These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and PropertyLenz ("PropertyLenz," "we," "us," or "our") governing your access to and use of the PropertyLenz mobile application and related services (collectively, the "Service"). For purposes of these Terms, "User" and "you" are defined broadly to include landlords, property managers, property owners, and any authorized representatives, employees, or contractors (such as maintenance staff or cleaning personnel) who access or use the Service under your account or on your behalf.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

By registering for an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and End User License Agreement (EULA). These Terms apply to all users of the Service, including landlords, property managers, tenants, and any other individuals who access or use the Service.

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3.1 Account Creation. To access certain features of the Service, you must create an account by providing accurate and complete information, including your name, email address, and payment information.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify PropertyLenz of any unauthorized use of your account or any other breach of security.

3.3 User Accounts. You are responsible for maintaining the confidentiality of your account credentials. PropertyLenz is not liable for any loss or damage arising from unauthorized access to your account.

3.4 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. PropertyLenz reserves the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

4.1 Subscription Plans. PropertyLenz offers monthly subscription plans. Pricing and plan details are available at propertylenzapp.com and within the mobile application.

4.2 Billing Cycle. Subscriptions are billed on a monthly recurring basis. Your subscription will automatically renew each month on the anniversary of your initial subscription date unless cancelled prior to the renewal date.

4.3 Payment Authorization. By providing payment information, you authorize PropertyLenz to charge the applicable subscription fees to your designated payment method on a recurring monthly basis. You agree to maintain valid and current payment information.

4.4 Price Changes. PropertyLenz reserves the right to modify subscription pricing at any time. Any price changes will be communicated to you at least thirty (30) days in advance and will take effect at the start of your next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

4.5 Taxes. All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for payment of all such taxes, except for taxes based on PropertyLenz's net income.

5.1 Monthly Subscription Fees. The Service is billed on a monthly subscription basis.

5.2 Non-Refundable Fees. All fees are non-refundable.

5.3 Access Through End of Billing Cycle After Cancellation. If you cancel your subscription, you will continue to have access to the Service until the end of the current paid monthly billing cycle.

5.1 Cancellation. You may cancel your subscription at any time through your account settings or by contacting PropertyLenz support at [email protected]. Cancellation will be effective at the end of your current billing period.

5.2 Access After Cancellation. Upon cancellation, you will retain access to the Service until the end of the billing period for which you have already paid. No prorated refunds will be issued for partial months.

5.3 No Refunds. All subscription fees are non-refundable. PropertyLenz does not provide refunds or credits for partial months of service, upgrade or downgrade refunds, or refunds for months unused with an active account.

5.4 Account Termination. If PropertyLenz terminates your account for violation of these Terms, you will not be entitled to any refund of prepaid subscription fees.

6.1 Limited License. Subject to your compliance with these Terms, PropertyLenz grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes in accordance with these Terms.

6.2 Restrictions. You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
  • Copy, modify, distribute, sell, lease, or create derivative works based on the Service;
  • Remove, alter, or obscure any proprietary notices on the Service;
  • Use the Service to transmit viruses, malware, or other harmful code;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service or related systems;
  • Use automated means (bots, scrapers, etc.) to access the Service without express written permission;
  • Resell, sublicense, or otherwise commercialize access to the Service;
  • Use the Service to harass, abuse, or harm another person or entity.

7.1 User Content. "User Content" means any and all data, information, photos, videos, documents, inspection reports, checklists, notes, tenant information, and other materials that you upload, create, transmit, or store through the Service.

7.2 Ownership. You retain all ownership rights to your User Content. PropertyLenz does not claim ownership of any User Content you submit or create through the Service.

7.3 License to PropertyLenz. By using the Service, you grant PropertyLenz a worldwide, non-exclusive, royalty-free license to host, store, and display your User Content solely for the purpose of providing the Service.

7.4 Responsibility for User Content. You are solely responsible for your User Content and the consequences of submitting or publishing it through the Service. You represent and warrant that:

  • You own or have the necessary rights and permissions to use and authorize PropertyLenz to use your User Content;
  • Your User Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any third party;
  • Your User Content does not contain defamatory, libelous, unlawful, or otherwise objectionable material.

7.5 Data Backup. While PropertyLenz maintains regular backups of User Content, you are solely responsible for maintaining your own backup copies of your User Content. PropertyLenz is not responsible for any loss, corruption, or deletion of User Content.

8.1 Feature Description. The Service includes a feature that allows landlords and property managers to enable tenants to conduct self-led property inspections using customizable checklists and photo documentation tools.

8.2 Tenant-Led Inspections Disclaimer. PropertyLenz provides tools for tenants to perform self-led inspections and for other third parties (including authorized representatives, employees, or contractors of a landlord/property manager, such as maintenance staff or cleaning personnel) to perform user-led inspections. PropertyLenz does not verify, guarantee, or assume responsibility for the accuracy, completeness, or honesty of any inspection performed by a tenant or any other third party. The Landlord/Property Manager acknowledges that PropertyLenz is a software platform only and not a professional inspection service. Landlords are solely responsible for reviewing and validating all reports generated by tenants or other third parties. PropertyLenz shall not be liable for any missed property defects, damages, or disputes arising from tenant-led or other user-led inspections performed by any third party.

8.3 Landlord Responsibility. You acknowledge and agree that:

  • You, as the landlord or property manager, are solely responsible for determining whether to use the tenant self-led inspection feature;
  • You are responsible for creating, customizing, and reviewing inspection checklists to ensure they adequately cover all necessary items for your specific property;
  • You are responsible for reviewing all inspection reports and photos submitted by tenants;
  • The Service is a tool to assist with inspections and does not replace your professional judgment, expertise, or responsibility as a landlord or property manager;
  • You remain solely responsible for identifying and addressing any property damage, maintenance issues, safety hazards, or code violations, regardless of whether such issues are documented in a tenant-led inspection.

8.4 No Liability for Missed Issues. PropertyLenz is not responsible or liable for any damage, injury, loss, or claim arising from:

  • Issues not identified or documented during a tenant-led inspection;
  • Incomplete, inaccurate, or misleading information provided by tenants;
  • Your reliance on tenant-submitted inspection reports without conducting your own verification;
  • Any property damage, safety hazards, or maintenance issues that occur or go undetected.

8.5 Tool Only. The tenant self-led inspection feature is provided as a convenience tool only. PropertyLenz does not guarantee that tenant-led inspections will identify all property issues, damage, or safety concerns. You assume all risk associated with using this feature.

The Service allows you to generate comparison reports between move-in and move-out inspections. These reports are provided for informational and documentation purposes only. PropertyLenz makes no representations or warranties regarding the accuracy, completeness, or legal sufficiency of such reports. You are responsible for reviewing and verifying all information before relying on comparison reports for any legal or business purpose, including security deposit disputes.

The Service includes offline functionality that allows you to conduct inspections without an internet connection. Data created offline will sync to our servers when an internet connection is restored. You are responsible for ensuring that offline data is properly synced. PropertyLenz is not liable for any data loss that may occur during offline use or syncing processes.

You agree not to use the Service to:

  • Violate any federal, state, local, or international law or regulation;
  • Store or transmit discriminatory, harassing, defamatory, or otherwise unlawful content;
  • Violate fair housing laws or engage in discriminatory practices;
  • Store or transmit personally identifiable information in violation of applicable privacy laws;
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity;
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service;
  • Use the Service in any manner that could disable, overburden, damage, or impair the Service.

You also agree not to misuse the Service, including but not limited to reverse engineering the app, scraping data, or using the Service for any illegal purposes.

12.1 PropertyLenz Property. The Service, including its software, features, functionality, design, text, graphics, logos, icons, images, and the selection and arrangement thereof, is owned by PropertyLenz and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

12.2 Trademarks. The PropertyLenz name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PropertyLenz. You may not use such marks without the prior written permission of PropertyLenz.

12.3 Feedback. If you provide PropertyLenz with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant PropertyLenz a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by PropertyLenz. PropertyLenz has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that PropertyLenz shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party services.

14.1 Privacy Policy. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

14.2 Data Security. PropertyLenz implements commercially reasonable technical and organizational measures designed to protect User Content against unauthorized access, loss, destruction, or alteration. However, no method of transmission over the internet or electronic storage is 100% secure. PropertyLenz cannot guarantee absolute security of your User Content.

14.3 Data Breach Notification. In the event of a data breach that affects your User Content, PropertyLenz will notify you in accordance with applicable law.

15.1 AS-IS BASIS. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PROPERTYLENZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

15.2 NO GUARANTEE. PROPERTYLENZ DOES NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED;
  • THE SERVICE WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

15.3 NOT LEGAL ADVICE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, FINANCIAL, OR REAL ESTATE ADVICE. INSPECTION REPORTS AND DOCUMENTATION GENERATED BY THE SERVICE ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS REGARDING LEGAL COMPLIANCE, SECURITY DEPOSIT DISPUTES, AND OTHER PROPERTY MANAGEMENT MATTERS.

15.4 LANDLORD-TENANT LAWS. PROPERTYLENZ MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING COMPLIANCE WITH STATE OR LOCAL LANDLORD-TENANT LAWS, FAIR HOUSING REGULATIONS, SECURITY DEPOSIT LAWS, OR OTHER APPLICABLE REGULATIONS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR USE OF THE SERVICE COMPLIES WITH ALL APPLICABLE LAWS.

16.1 AS-IS; EXCLUSION OF DAMAGES. PROPERTYLENZ IS PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROPERTYLENZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF PROPERTYLENZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.2 CAP ON LIABILITY. IN NO EVENT SHALL PROPERTYLENZ'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO PROPERTYLENZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

16.3 SPECIFIC EXCLUSIONS. PROPERTYLENZ SHALL NOT BE LIABLE FOR:

  • Any security deposit disputes, legal claims, or litigation between you and tenants;
  • Damage to property not identified during inspections conducted using the Service;
  • Any reliance on inspection reports, photos, or data generated by tenants or other users;
  • Loss of data due to user error, device failure, or syncing issues;
  • Any unauthorized access to your account resulting from your failure to maintain account security.

16.4 STATE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless PropertyLenz, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service;
  • Your violation of these Terms;
  • Your violation of any rights of another party, including tenants;
  • Your User Content;
  • Your violation of any applicable laws or regulations, including fair housing laws, landlord-tenant laws, or privacy regulations;
  • Any security deposit disputes or legal claims arising from your use of inspection reports generated by the Service.

18.1 Termination by You. You may terminate your account at any time by cancelling your subscription through the app or web portal.

18.2 Termination by PropertyLenz. PropertyLenz reserves the right to suspend or terminate accounts for violations of these Terms, with or without notice, including but not limited to:

  • Violation of these Terms;
  • Fraudulent, abusive, or illegal activity;
  • Non-payment of subscription fees;
  • Extended periods of inactivity.

18.3 Effect of Termination. Upon termination of your account:

  • Your right to access and use the Service will immediately cease;
  • PropertyLenz may delete your User Content in accordance with our data retention policies;
  • You remain liable for any outstanding fees or charges incurred prior to termination;
  • Sections 7.2, 7.4, 12.3, 15, 16, 17, 19, and 20 shall survive termination.

18.4 Data Retrieval. You are responsible for exporting or downloading any User Content you wish to retain before terminating your account. PropertyLenz is not obligated to provide you with copies of your User Content after termination.

PropertyLenz may update or modify the Service features from time to time. PropertyLenz also reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and/or sending you an email notification. The "Last Updated" date at the top of these Terms will reflect the date of the most recent changes.

Your continued use of the Service after such changes constitutes acceptance of the new terms. If you do not agree to the modified Terms, you must discontinue use of the Service and cancel your subscription.

20.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

20.2 Jurisdiction. You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

20.3 Waiver of Class Actions. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

20.4 Time Limitation. Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

21.1 Entire Agreement. These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and PropertyLenz regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

21.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

21.3 Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and PropertyLenz's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without PropertyLenz's prior written consent. PropertyLenz may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

21.5 Force Majeure. PropertyLenz shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, internet service provider failures, or government actions.

21.6 Notices. Any notices or communications required or permitted under these Terms shall be sent to [email protected] for PropertyLenz, and to the email address associated with your account for you.

21.7 Relationship of Parties. These Terms do not create any agency, partnership, joint venture, employment, or franchisee relationship between you and PropertyLenz.

21.8 Export Controls. The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export control laws and regulations.
